Terms of Service

1. Acceptance of Terms

By accessing or using Talklet (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please discontinue use.

License Grant: Subject to your compliance with these Terms, Talklet grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use.

2. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via our website, email, or in‑app notifications at least 14 days before they take effect, unless immediate changes are required by law or for security reasons.

  • Material change definition: changes that reduce your rights or increase your obligations; fees or payment terms; data collection/use that is materially different; dispute resolution (including arbitration), governing law or jurisdiction; or significant changes to core features or service availability.
  • Your choice: If you do not agree to the updated terms, you may stop using the Service and request account closure and data deletion within 30 days of the notice. Continued use after the effective date means you accept the updated terms.
  • Consent where required: Where applicable law requires, we will seek your explicit consent for certain changes.

3. Eligibility and Account

  • You must be legally capable of entering into a binding contract in your jurisdiction.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • Provide accurate and up-to-date information when creating or managing your account.
  • Age Requirements: You must be at least 13 years old to use the Service. If you are under 18, you represent that you have parental or guardian consent to use the Service.

4. Use of the Service

  • Use the Service only for lawful purposes and in accordance with these terms.
  • We may modify, suspend, or discontinue any part of the Service without liability.
  • We may impose limits on certain features or restrict access without notice.
  • Acceptable Use: You agree to use the Service in a manner consistent with any and all applicable laws and regulations.
  • Service Availability: The Service may be unavailable due to maintenance, updates, or other factors beyond our control.

5. Prohibited Activities

  • Reverse engineering, decompiling, or attempting to extract source code except as permitted by law.
  • Uploading malicious code, interfering with networks, or attempting to gain unauthorized access.
  • Infringing intellectual property rights or violating applicable laws or regulations.
  • Content Restrictions: You may not upload, post, or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Security Violations: You may not attempt to gain unauthorized access to the Service, other accounts, or computer systems.
  • Commercial Use: You may not use the Service for any commercial purpose without our express written consent.

6. Intellectual Property

All content, trademarks, logos, and technology associated with the Service are owned by Talklet or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service as provided.

User Content: You retain ownership of content you create, upload, or share through the Service. By using the Service, you grant Talklet a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of providing and improving the Service.

Feedback: If you provide feedback, suggestions, or ideas about the Service, you agree that Talklet may use such feedback without compensation or obligation to you.

7. Third-Party Services

The Service may contain links to or integrations with third‑party websites or services. While we perform reasonable checks for official partners and integrations, we do not control third‑party content or policies.

  • Identification: Where feasible, we label official partners within the Service.
  • Review: We perform periodic, basic reviews, but third‑party content and practices can change without notice.
  • Risk notice: When following external links, you may see a reminder that you are leaving Talklet. Please review the destination's terms and privacy policy.
  • Third-Party Terms: Your use of third-party services is subject to their respective terms of service and privacy policies.
  • No Endorsement: Talklet does not endorse or assume responsibility for any third-party content, products, or services.

8. Subscriptions and In-App Purchases

Purchase and Cancellation Rights: Certain Talklet Apps are available for purchase from a mobile platform owner (e.g., Apple or Google) or online platform owner (e.g., Paddle) and/or will allow the User to make in-app purchases. Payment for such purchases may be processed by third parties who act on behalf of Talklet or directly by the mobile platform owner.

Regional Cancellation Rights: In some countries, there are specific time periods to cancel online purchases after purchasing them provided by law (European Union residents, etc.). For these countries, consumers may have a right to cancel within a specific number of days after purchasing products/services online as provided by law. Therefore, your right to cancel in-app purchases will rely on the country you reside in.

Platform Owner Terms: Since payment processes of certain purchases on Talklet Apps will be conducted by the mobile platform owner, failure to follow certain local laws regulating the right to cancel will be subject to mobile platform owners' terms. Please also review the mobile platform owner's terms in this regard before purchase.

Cancellation Information: You can find further information on cancelling orders and any associated refunds on the website of the third-party re-seller from whom you purchased the app (the Apple App Store and/or Google Play) or the third-party platform where you made the purchase (e.g., Paddle).

Direct Purchase Cancellation: Where you purchase from Talklet directly: please note and acknowledge that if you are a resident in the European Union or your local law regulates a right to cancel and download the Talklet Apps from Talklet directly, you agree to waive your cancellation and refund right once the download of the app or the relevant purchase is made.

Non-EU Residents: Please note that if you are not a resident in the European Union and if your local laws do not regulate mandatory laws otherwise, you have already no right to cancel purchases you made if you download Talklet Apps from Talklet directly. This means that you will not be able to cancel your order or obtain a refund once the download and delivery of the app is complete. This will also apply to subscriptions and in-app purchases.

Subscription Terms: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. You can manage and cancel subscriptions through your device's account settings or the platform where you made the purchase.

Refund Policy: All purchases and subscription fees are non-refundable unless required by applicable law or as otherwise specified in these Terms.

9. Privacy and Data Protection

Your use of the Service is governed by our Privacy Policy. Key highlights include:

  • What we collect: account info, usage data, device and technical data.
  • How we use it: to provide and improve services, ensure security, and communicate with you.
  • Your choices: access, correction, deletion, restriction, portability, and objection where applicable.
  • Retention: we retain data only as long as necessary for the purposes described or as required by law.
  • Data Security: We implement appropriate technical and organizational measures to protect your personal data.
  • International Transfers: Your data may be transferred to and processed in countries other than your own, in accordance with applicable data protection laws.

10. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non‑infringement, to the extent permitted by law.

No Warranty: Talklet does not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

Content Accuracy: We do not warrant the accuracy, completeness, or usefulness of any information provided through the Service.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Talklet and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill arising from your use of the Service.

  • Non‑excludable liability: Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
  • Consumer rights: These terms do not affect statutory rights that cannot be waived. In jurisdictions with mandatory consumer protections (e.g., EU/UK), we are responsible for losses that are a foreseeable result of our breach or failure to use reasonable care and skill.
  • Monetary cap (where allowed): Where permitted by law, our total liability for all claims relating to the Service in any 12‑month period is limited to the amount you paid to us for the Service in that period.
  • Force Majeure: Talklet shall not be liable for any failure to perform due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, fire, natural disasters, or government actions.

12. Indemnification

You agree to defend, indemnify, and hold harmless Talklet, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service or violation of these terms.

Cooperation: You agree to cooperate with us in the defense of any such claim. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you.

13. Suspension and Termination

We may suspend or terminate your access to the Service if:

  • You materially breach these terms (e.g., illegal activity, fraud, abuse, or repeated intellectual property infringement).
  • Your use poses security, operational, or legal risk to us or others.
  • Non‑payment of applicable fees after due notice (if any fees apply).
  • Immediate Termination: We may terminate your access immediately if you engage in illegal activities or pose an immediate threat to the Service or other users.

Where legally permitted, we will provide a notice describing the reason and, if appropriate, an opportunity to remedy. You may appeal a suspension or termination by contacting support@talklet.com within 14 days of notice.

Upon termination, your right to use the Service ends. We will handle your data according to Section 16 (User Rights) and our Privacy Policy.

Survival: Certain provisions of these Terms shall survive termination, including but not limited to Sections 6 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), and 11 (Indemnification).

14. Governing Law and Dispute Resolution

These terms are governed by the laws of the applicable jurisdiction where Talklet operates, without regard to its conflict of law principles.

Dispute Resolution: Before pursuing formal legal action, we encourage you to contact us to resolve any disputes informally. If informal resolution is not possible, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.

Class Action Waiver: You agree that any disputes will be resolved individually, and you will not participate in any class action or representative proceeding.

15. User Rights and Data Subject Rights

  • Access and correction: You can request access to and correction of your personal information.
  • Deletion: You can request deletion of your data, subject to legal retention requirements.
  • Objection and restriction: You can object to or request restriction of certain processing where applicable.
  • Portability: You can request a copy of your data in a commonly used format where applicable.
  • Withdrawal of Consent: Where processing is based on consent, you have the right to withdraw consent at any time.
  • Lodge Complaint: You have the right to lodge a complaint with the relevant data protection authority.

16. Account Deletion and Data Portability

You may request account deletion by contacting support@talklet.com. We will process verified requests within 30 days (or within the timeframe required by applicable law). Backups may persist for up to 90 days but are securely isolated and then purged according to our data retention schedule.

To request a copy of your data before deletion, contact us and we will provide it in a commonly used, machine‑readable format where applicable law provides this right.

Data Retention: We retain certain information as required by law or for legitimate business purposes, such as preventing fraud and abuse.

17. External Links and Third-Party Content

For your safety, we may display a reminder when you follow an external link indicating that you are leaving Talklet. Review the destination's terms and privacy policy before proceeding.

Third-Party Content: The Service may display content from third parties. We do not endorse, verify, or assume responsibility for such content.

User-Generated Content: Users may post content through the Service. We do not pre-screen all user content but reserve the right to remove content that violates these Terms.

18. Updates and Maintenance

Automatic Updates: The Service may automatically download and install updates to improve functionality, security, and user experience.

Maintenance: We may perform scheduled maintenance that may temporarily affect Service availability. We will provide advance notice when possible.

Feature Changes: We may add, modify, or discontinue features of the Service at any time.

19. Severability and Waiver

Severability: If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.

Waiver: The failure of Talklet to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Entire Agreement: These Terms constitute the entire agreement between you and Talklet regarding the Service and supersede all prior agreements and understandings.
